Above all, it is to be emphasised that P.d.P.Portatrice di Prosperità SA originated in the field of assets and money management. While much of our work is of a legal, fiscal and administrative nature, everything we do reflects the commercial realities and crucial points of the projects we serve.

1. Assets management

The place of Switzerland in the financial community has been subject to a good deal of comment in the recent past, ranging from the elimination of money laundering operations, to potential changes in the status of traditional Swiss banking practice due to a possible admission to the EC. Hopefully, we can show our clients both that Switzerland has been properly reactive to abuse of the banking secrecy and safety offered and that, for the bona fide entrepreneur, Switzerland forms a most effective building block in the development of an efficient multinational project.

Our main activity is to manage the assets of our clients, whether individuals, private concerns or public institutions, such as trust funds or foundations. Investments are either made on the basis of the client’s specific instructions or on P.d.P.Portatrice di Prosperità SA own initiative in accordance to each client’s general directives (see management mandate ).

Our expertise as independent managers with close contacts with the major global financial institutions allows us to master the evolutions of the financial markets and the changing configurations of the political, economic and financial conditions. Our management strategy is designed to fit the client’s personal and professional situation, his liquidity preference and his risk/return objectives. The pyramid on page number 6 shows the different degrees of investment. Beginning from the bottom with the low-risk level, we have the life risk insurances, the safest investment sector; in the next level with a very small degree of risk we find the basis investments such as life insurance, saving contracts and real property for one’s own personal use. The third level contains the category of income investments, with a limited risk. We finally have the upper level with all other investments, especially speculative investments, that represent the most risky upper investment sector.

On entering into a money management mandate with a client P.d.P.Portatrice di Prosperità SA establishes with the client the investment objectives, the monetary diversification and agrees on particular instructions. The client recognises our company a management fee of 1% (one per cent) annually calculated on the total value of the capital under management and a performance fee corresponding to 15% (fifteen per cent) of the part of the yearly income related to the entire capital in management, attained in the currency of reference, exceeding a minimum agreed quota of the proposed currency. Starting from the second million of US$ under management the fee is 0.75% on the total value and for any additional million is 0.5%.

2. Trust management

P.d.P.Portatrice di Prosperità SA analyses the global net worth of the client. We offer to the client a tailored consulting service by renowned professionals in insurance policies in all branches, in real estate purchase and sale, in real estate administration, mortgage dealing and financing included. Corporate planning and management of corporations involved in a fiduciary agreement with the client are elements of our business conduct (more in the next point).

3. Tax planning and corporate finance consulting

P.d.P.Portatrice di Prosperità SA offers to their promoters and managers the legal set up and management of Swiss and foreign corporations, the domestic and international tax planning and the project financing. We provide financial, commercial and administrative services to multinational
projects and we arrange the correct management and care of personal revenues and opportunities arising from the successful development of the project. We plan and install the various structures required to maximise the international practical, financial and fiscal viability of a project by the employment of the most suitable off-shore options. Our administration of Swiss and foreign elements is absolutely confidential and it answers a high degree of commercial and financial know-how.

P.d.P.Portatrice di Prosperità SA usually enters into a preliminary fiduciary agreement with the clients at an early stage in the project. This provides for:

3.1. An up-front consultancy fee, representing the cost of an approximate number of days of work devoted to project planning

3.2. A covering for fees required by P.d.P.Portatrice di Prosperità SA professional associates during the planning and installation phase, an

3.3. A success fee, should the project be founded. This represents P.d.P.Portatrice di Prosperità SA’s short-range reward.

Our long-range objective, however, is to be constructively involved in projects on an on-going basis.

Hence, the preliminary arrangement normally foresees a second Fiduciary Agreement under which P.d.P.Portatrice di Prosperità SA contracts to administer the off-shore structures which have by then been installed, and to contribute in other appropriate ways to the success of the project.

4. Mergers and acquisitions

The service offered by P.d.P.Portatrice di Prosperità SA in this field is target and buyer scouting with international partners. We give to the client our expertise, negotiations, financing, organisation, management and EDP consulting.

5. Opportunities for High Worth Individuals (HWI)

Nowadays the world’s economics and politics do not, perhaps, invite to the purchase of Swiss freeholds for the simple joy of sun and snow, as they did in the enthusiastic heyday of the early ‘80s. Nonetheless, whether they are lovers of the Alps or not, there could be some very good reasons for the HWI to consider such an acquisition now.

The economic and political future of the UK, USA, Germany, Italy and other nations is sufficiently uncertain for HWI to wish to consider all reasonable steps to protect the option to emigrate on retirement, both to obtain tax efficiency during their lifetime, and to provide descendants with freedom of choice as where to take their inheritance and lead their lives later on.

P.d.P.Portatrice di Prosperità SA offers to the client tailored consulting about the acquisition of Swiss freeholds and the transfer of residence on retirement to Switzerland.

MANAGEMENT MANDATE

The undersigned John Brown owner(s) of the bank relation, Minnie account no.999.999 hereafter referred to as the principal(s), with the present document, confers the management, without power of substitution, and upon conditions indicated thereunder to P.d.P.Portatrice di Prosperità SA, hereafter referred to as "agent" in order to manage and administer in his (their) name and his (their) behalf all property registered to the above mentioned account at the following bank or institution:

1.3. Particular instructions


In case of change in the investment directive, a written confirmation by the principal(s) is necessary. In absence of any explicit other dispositions, the agent shall exercise the mandate according to his judgement but with complete liberty to appreciate, evaluate and make decisions.


2. Conditions

2.1. The principal(s) recognises and obliges himself (themselves) to pay to the agent a management fee of 1% (one per cent) annually calculated on the total value of the capital in management.

The capital in management is determined, for the year in course, according to the sum existing at the moment of the granting of this mandate. Successively, according to the state on 1.st January of each year, unless and until this is not increased by the principal(s) with contribution of new capital. The introduction of the new capital shall involve a pro rata increase in the commission according to the above mentioned criteria.
The minimum annual commission is SFR 2000.- (Two thousand Swiss francs), pro rata for periods less than one year. The Commission will be paid quarterly, in advance, the first time by 01.01.1997.

2.2. In case the annual income of the entire capital in management exceeds the minimum quota of 3% (three per cent) the principal(s) recognises and obliges himself (themselves) to pay to the agent a performance fee corresponding to 15% (fifteen per cent) of the part of income related to the entire capital in management attained in the currency of reference, exceeding the minimum quota agreed upon. The performance fee shall be paid once a year by and no later than 15 January on the basis of the results established on 31 December of the preceding year.

The principal(s) shall sign at the above mentioned institution a permanent order in favour of the agent of the maximum sum of 3% (three per cent) a year on the entire capital in management in order to be able to withdraw the quarterly commission and the annual performance fee.

The agent is authorised to sign on the principal’s behalf the agreements and regulations inherent to the operations to be performed.


3. Mandate duration

The present mandate is valid for a minimum period of 12 (twelve) months and may be revoked at any time by registered letter or written communication delivered by hand. The annulment will be valid upon receipt of the letter by the agent.

This mandate does not expire in case of death of one of the principal(s) nor in case of unexpected incapacity, but remains in force until revoked in writing by an authorised person.


4. Discharge of responsibility

The principal(s) declares and accepts with the present, the discharge of all the responsibilities of the agent, irrespective of the results obtained.


5. Applicable law and Court

For matters not dealt with here, refer to the Swiss Code of Obligations, in particular articles 394 and following relating to the mandate shall be applicable.

For any dispute arising out of this present agreement, the parties agree that the competent Court shall be the court of the place of the agent’s domicile.
